Yes, it's not doing the right thing. MS sells OEM licences cheaper than retail ones because the OEM licenses are only supposed to be used on the original machine. The entire point is that if one wanted a retail license they would pay for it.

That is incorrect with Vista. You have to upgrade from a previous install (incidentally, I believe it's still possible to install Vista, choose not to put in the key, the launch an upgrade from within Vista again and this time put in the key).
As others have said- an upgrade copy will certainly work, but it will wipe out the old stuff completely (the same as if you stuck in a full retail version and had it format and install).

Stop tweaking. Stop installing non-signed drivers (especially since at this point most of the major tweaking programs have signed drivers). Stop moving files in system folders (that includes Program Files). Stop running programs that require admin access. Essentially...
Very likely (though if you have a separate antivirus program, make sure to check that too- especially if both of them go on at once, that would be a major slowdown). As far as defender goes, try setting it to another time and seeing if it makes a difference.
Autodefrag wouldn't do that to you anyways; it's low priority on the I/O and therefore shouldn't slow you down.
My first instinct is antivirus or similar. Have you checked scheduling on those?
