My friend is moving in his own place, and will no longer have a computer. He is looking for something that will play games decent, but its more for the web and chatting with his GF. I have two different offers and its a toss up as to which would be better at this point.

THe second one woudl need upgrading, probably another stick of ram and a Ti4200, which woudl still leave room for something else if need be. What turns me on to that one is the XP Pro, however the first one shows some killer OCing abilities. No. also comes with a modem which is nice...as hes to poor to afford high speed. So, with offer 1 vs offer 2 (with another stick of ram and a ti4200) which do you guys think woudl perform better? Would it be a huge difference? Enough to justify the extra $100?

lol, your post changed but it doesnt say you edited it. The thing is, I wont be putting ina new card or ram, he doesnt need it. He is shooting for $500 and tharts where that one is. He is not huge into games, doenst have the time for em really. I wil give him like BF1942 and COD, but hes not playing anything really advanced, and I doubt hes a real graphics whore anyways.
 
A Pentium M 1.7GHz runs @ 2.8GHz??? I don't think so. That's either a typo or he's full of shit.

Offer 1 "sounds" like a better deal even if the guy meant it runs at 1.8GHz. But my BS meter is starting to spike so I don't know if I'd trust this guy or not.

I myself thought that was high too, but ive only dealt with the AMD side of things, so I dunno how well mobile P4's overclock.
