You sure the board will take the C2D? If it will, yes, make the swap. Should be a night and day difference.
I had an Intel® Core 2 Duo e6400 and it beat the socks off from the fastest Intel Pentium D that we ever released. If the board supports it then go for it. BTW most of those boards will only support the 65nn processors so don't try to use a 45nm processor on it.
