For starters, I'd get a Intel 955X or Nvidia NF4 Intel Ed. rather than that 925XE. Simply because you can run dual cores on the newer chipsets if you decide in the future to go that route.

Everything else looks ok (a lot of it is personal preference anyway). I don't think the Intel 64-bit is going to make that much of a difference. The 2mb cache is probably the bigger performance boost.

what is dual cores? Also this system is already built. Would it be good to just sell the mobo and have a techy install a new 955x board? How much can I get for the 925xe board?

Dual cores are basically 2 CPU cores on the same socket. Instead of having to get 2 socket boards for multi-cpu processing, you basically get the same thing on 1 CPU (if that makes any sense).

If the system is already built, I wouldn't worry too much about it. I thought you were going to be buying parts and putting it together yourself.

If you want an idea about how much you could get for it, check the FS/FT forum or search on ebay. Like I said, probably not a big deal though. You should be fine.
