PC problem Need help

P4 3ghz
IC7
Antec 480W Psu
2X256 hyperX PC3500
Geforce 4 4200ti
1 Hard drive
2 CD-roms
Audigy 2

My main problem is my PC keeps giving me BSOD, The main Errors i get are
0x0000007f and sometimes Bad_Exhandle 0x000000A7.

I have ran Memtest86 and i was getting Errors on Test #4 , the bad address is 7fffffff. I
decided to underclock my Cpu to 198FSB (2.97ghz from 3.06ghz) and tried the test and then the Errors disappeared.
Also if i run the ram at 2.6V i get tons of errors, so i have to drop it to 2.5v.

I have the latiest Bios and chipset and i do not overclock.
Since I underclocked i have been getting some BSOD but the errors have been different, i should have enough cooling and my temps are
system 25C
processor 47-50C - idle / 61C under load
power 37C

Could anyone here give me a clue as to what is causing this problem? CPU Mobo ram
Some Friends think it is the motherboard but i would like some opinions before i RMA something.

clear ur bios to factory default. use only one of your ram sticks and try. then both

Default settings did not work

I have searched for the error codes 0x7f is CPU releated. i could not find that much info on the other one.

If it were the CPU , why would the errors change after the Ram errors go away?

Maybe you just have a bad CPU.
