I am going to be reusing my case, I have a western digital 500gb blue, an XFX 4850.

I already have windows 7 64-bit for it.

I really was hoping to get a intel 2500k and 8GB of ram.
I am looking for a motherboard that will allow me to get around 4.4GHz on air on the 2500k.

Why do you need a new PSU?

Also when are you planning on upgrading the GPU?
 
If you won't tell us where in the U.S. you live, at least tell us whether or not you live near a Fry's or Micro Center store. They sometimes have in-store specials that are better than what you could find at NewEgg or Amazon.

Do you plan on upgrading the video card soon? If so, how soon? What are you considering? Your future video card plans may determine what PSU you need to buy now.
 
PSU is extremely old and low wattage.

I was just gonna use the 4850 for now since I am running a phenom 1 with 2GB of ram.

EDIT: I live in Mesa, Arizona. There is a fry's electronics I can drive to. No microcenter though.

I plan on upgrading the video card in about a year, probably spend $150-$200 at most at that time. Or whatever is best for my resolution requirements.
 
Not a good choice IMO due to the short 1 year warranty that mobo has considering that similarily priced mobos from Asus, Gigabyte, and MSI have three year warranties. Not to mention that AsRock budget mobos is a bit on the low side of quality. I recommend this mobo instead:
$115 - MSI P67A-G43 Intel P67 ATX Motherboard

Decent PSU and should be enough for your current setup. However I don't know if it'll be good enough for future GPU upgrades. Personally I'd spend the extra cash for a larger PSU as a CYA measure:
$63 - Antec NEO ECO 520C 520W PSU
