Here is the current setup:

Case - Thermaltake Wingo V7000
PSU - Ultra ULT31848 X-Finity 600W
CPU - P4 3.4Ghz 2mb cache
M/B - Intel D915PBL
Video - Evga 8800GS 384mb
Ram - (2) x 1Gb PC2 4200
Sound - onboard for now

Set of JBL Creature II speakers

I bought an retail E2200 for $62 and would now like to upgrade the current CPU/mb/ram to a dual core system. I'm going to be using it for gaming mainly WoW, UT2004/07*, CS:source etc...and would also like to OC it a little (this would be my first OC since intel came out with the Pentium 75(mhz)). What would be a good fan for the CPU, video...?

- What's your budget for the mobo and RAM upgrade since you already have the CPU on hand?
- What features do you need in a motherboard?

You really don't need to replace your RAM, even with overclocking in mind. C2D systems run best when the FSB and RAM are at a 1:1 ratio. Some math:

Stated FSB/4 = Actual FSB
Multiplier x Actual FSB = CPU Speed
2 x Actual FSB = RAM Speed

E2200:
Multi x Actual FSB, RAM Speed = Clock Speed
11 × 200Mhz = 2.2Ghz, DDR2-400 <<== Stock speeds
11 × 266Mhz = 3.0Ghz, DDR2-533 <<== Easy OC

So your current DDR2-533 RAM is all that you need to OC that E2200.

As for HSF recommendations, here's a few:
Arctic Cooling Freezer 7 Pro HSF - $22
Xigmatek HDT-S963 92mm Rifle HSF - $25
Scythe SCNJ-1100P Ninja HSF - $36

I just bought the E2200, Abit IP35-E motherboard, Adata Ram and 9600GT. All is running great and I overclocked it to 3.0 GHz with no real problems.

MB: ABIT IP35-E - http://www.newegg.com/Product/Product.aspx?Item=N82E16813127031 - $60 AR Ends Today
Ram: 2 Gigs Adata - http://www.newegg.com/Product/Product.aspx?Item=N82E16820211066 - $28 AR Ends Today

But you can get $Gigs of the same ram for $50 AR http://www.newegg.com/Product/Produ...rgains&cm_mmc=AFC-Bensbargains-_-NA-_-NA-_-NA Ends Soon

I upgraded from a 3.0 P4 2 Gigs of PC2100 and X850 VC. The difference is night and day.

heh I guess I only need a motherboard than, think I can find one used =) on here?

I can always upgrade the ram at a later date (tax stimulus)...

it looks like the Abit board does not support my ram it's starts at the DDR2 667....or would it just slow down to use it?

No, you'll have to OC your RAM. The P35 chipset supports at least DDR2-667.

Or if you want MOOOOORE...
$70 - A-Data 4GB (2x2GB) DDR2-800 ADQVE1B16K ($20 MIR)

how do i know if my ram can OC to ddr2 667?

Here is the memory model number...
PQI24200-2GDB (it's (2) x 1Gb sticks)

Only way to know is to actually try to OC your RAM to DDR2 667 speeds. See if your Intel mobo has any options to bump up the RAM speed.
