help with system upgrade

I want to get a better system, but all my stuff is pretty much impossible to upgrade so i need some advice as to what path to take

heres my specs.

Albatron KT400 mobo
Athlon XP 2100+
1024MB 266MHz DDR
GeForce 4 MX 440
40x cd burner
2 20 gig HD's and one 80 gig
shitty case i want to get rid of

and i have about $800

i can't really upgrade any one thing without something else bottlenecking it, so oes anyone have any advice?
 
$800 is enough to build a new system. I'd sell everything and build a brand new system. You can probably get $200-$300 for that stuff, so then you'd have at least $1000 which is plenty for a good system.
