If you run at stock, the E6400 will give you a bit better performance with its faster clock speed and FSB:

Its a good deal either way. You're getting a faster and more expensive processor.

Anyway, go for the E6400. While you may have an easier time overclocking that E4400, the E6400 can reach a higher overclock. And like others have said, even at stock the E6400 will be faster than the E4400.
