Everything looks good except for the motherboard. The placement of the 24Pin connector on that motherboard just plain sucks since it will impede airflow and cause cable management issues. So I recommend going with this motherboard instead:
Gigabyte GA-EP43-DS3L Intel P43 Motherboard - $90
 
With this type of budget, I would go with the DS3L as well. I have seen people take that E2180 and the DS3L through the roof with overclocks.

Yep, changed FSB & bam 3ghz. Tweaked voltage & reached 3.2 with ease. Most under rated board out there.

If I were you I would wait 5 days...the new E5200 chips will be out & are very promising! They are the new .45 nm version of the E2200 & are due out last day of August.

Yes it is...with the lower front side but the E5200 will have a high multiplier. Should be awesome when combined with killer board!
 
Yes the HD4850 is faster than the 8800GT.

He's been preaching this to me for a while :p

And from what I've read it's correct. I'm "trying" to stick to my budget too and buy.com has the xfx 8800gt for 99 shipped - so you could save ~$60 versus the 4850. However, I'm planning to play warhammer - probably not drawing the full potential of either cards...

The only XFX 8800GT i could find on buy.com was the 256MB version, a horribly horribly crippled card. Either get the 512MB version of the 8800GT or just go with the 9600GT which could be found for $100:

Either way, avoid the 8800GT 256MB at all costs.
 
The 8800GT 256 performs well also, at lower resolutions.

Eitherway, 4850 would be my first choice, then the 9600 for much less.
