Dear Hard Forum peoples
If i was using the athlon 64 fx-55, and not overclocking:-
1). Using a thermalright xp-120.
with a vantec stealth fan 120mm moving 53cfm, is this enough
however i care about quitness, and this runs at 28db.

I have one of those heatsinks with a overclocked A64 3400 and it keeps it real cool and it does not require a fan with insane cfm or noise to do it. You should be fine with that combo I am running my fan at 1900 rpm and a half hour of Doom3 only raises cpu temp by 2C which I think is great.

as long as you HAVE a fan on it, it will be sufficient, the thermalright series is pretty careless when it comes to fans, and the general rule of thumb is "Does it push SOME air? Great, it can keep it cool!"
