I just upgraded my PC with an 8800gt video card and a new motherboard from msi. The board will allow lots more overclocking versus the old asrock board that I had. I mostly play first person shooters like Bioshock, Jericho, Unreal Tournament 3, Crysis, etc. Would overclocking the 6400 core 2 duo cpu in my pc make much difference in gaming? How complex would it be to get the overclock to around 3 ghz, and would I need a better heatsink and fan versus the stock cooler?

use search bro but for the lazy:
extreme 120 +fan
tuniq 120
ultima90 + fan
zalman 9700

just to name some good ones. google it.

Yes. It will help and you will "feel" it.
Yes you will need a better cooler.
a 3GHz OC would not be difficult and should be easily obtained with a little research and work.

my E6300 runs almost 24x7 at 475 FSB x my max cpu mulitplier of 7 for 3.325GHz.

You should aim at 400 x 8 = 3.2GHz if you have PC6400 (800MHz) memory.

You most likely can get to 2.8GHz ish with your stock cooling, a nice little boost for no additional cost.

OK, I overclocked the cpu in the bios to 2.67 ghz with no problems, ran prime 95, load temps are 60C max on stock cooler. Apparently I need to overclock the 667 mhz ddr2 ram in order to go further. So, to overclock the ram modestly (to say around 700 mhz), do I just increase the speed in the bios, or do I need to change timings and voltages right off the bat? How likely is it that 667mhz ddr2 ram can overclock to 800 mhz?

depends on the type of memory and the available cooling.. 60c seems really high, but not too bad for the stock cooler. you can try to run memtest 86 with the memory set at 1:1 and start at 350 or so and see if it gets any errors. Also check the voltage for the memory if its 1.9~2.1 id set it close to the max 2.1 but if your voltage is already at max for the memory you may or may not get any higher than you are currently.. Worst case you can get some new DDR2 800s 2 1gb pairs are not to expensive right now.. well depends on the brand and chip type. But thats all my guestimation. so yeah have fun but be careful with it.
