Worthwhile upgrade from a 2.4c

I have gotten into video encoding and such lately and was curious if an upgrade could help me.

I have a 2.4c clocked at 3.0 250fsb. I also have an agp 6800gt and 2x512 ocz ddr pc4000. Im curious if there is a worthwhile lga775 motherboard and cpu which supports ddr and agp still. Im looking to spend around 150 on a mobo and 250 on the cpu at most.

Please keep in mind im not upgrading anything else. Just interested in a cpu/mobo upgrade will help.

Id be buying this in about a month and a half when I get back home.
