Windows7 Upgrade on new system?

I am building a new system. I have multiple purchased XP copies so I was thinking about getting the Windows7 upgrade instead of full retail package.

Can I install the Win7 upgrade on a new system with no operating system even if I have the windows XP CD?

Or do I have to install XP first?
