thermaright ALX-800, with stock fan replaced with coolermaster led (80mm fan to reduce noise, its at 2500rpm with 25dba and 32CFM).

i want to oc my 2500+xp mobile to 3200+

Most XP-M's will OC to 3200+ speeds with the stock cooler and little to no increase in voltage, so yes, that should work great.
I have heard good things about that heat sink in the lower end arena.

the thing is.. i don't have it... i'm planning to build a new comp with this hsf

It'll do nicely as an HSF.

Suggestion, though, don't use the Cooler Master LED fan; the things are kinda noisy. (I have one, it's the main source of noise in my comp now.) Try an Antec 80mm Pro fan instead, about the same airflow and significantly quieter.
