I need a decent , yet not to pricey, and not to noisey, very quiet if it can be.
Set-up...

AMD Athlon 64 3200+ Venice
MSI nf3 neo2
Corsair XMS x2 512
6800gt oc
120gig harddrive 8mb

I need a 550W for that ! Thought like 420, maybe 400 but not 550 lol

You don't need anywhere near 550w, but it has more a on the 12v rail than the 450w model. You could also get a 450w model of the same psu and run it fine.

I have almost the exact same set-up as you and just bought the Seasonic S12-500. I froogled it for $125.00.

-Its 500W (underated)
-It has 8 pin
-150W Pci-express
-Shitloads of connectors
-It is a very quiet PSU

I can't tell you how i like it yet because my processor from newegg wont be here until monday.

Nate
