I am basicly upgrading my computer to get better FPS in css. I currently get 100+ fps at all times except when their are 5+ people in my screen. Then it drops to 60-70.

My current system is a x2 4200 slightly overclocked. A 6800 ultra AGP, 2 gigs of ram.

I have a p5b motherboard that isnt being used so I figured conroe might be a good path.

I want to spend no more than 200 for the cpu and 300 for the video card. RAM isnt an issue as I have some already.

What would you buy? I am not sure if a 6300 or a 6400 would be best for me. Should I overclock the 6300 or just go with the 6400? Is this upgrade even worth it, will I see a big improvement in frames? My FPS is pretty good until there are a lot of people on the screen.

What's the refresh frequency of your monitor? While you might get a little performance bump spending $500 on a new proc and gpu, will you notice the difference? I'm fairly certain that I wouldn't notice the difference between 100fps and 130fps, even if my monitor could handle that (which it can't). If you bottom out at 60fps, is that really hindering you?

Sure you can spend some cash for upgrades but it boils down to whether or not the PC you use now is causing you problems. If it's not, then I don't see any need to spend the money now.
