What Motherboard Should I Choose for this setup?

So I'm thinking about building a new computer (To replace an aging socket 939 DDR computer). I just don't know what motherboard to choose (I want at least 4 SATA ports 1 IDE Port 4 ram slots 2 PCI Slots <$165)

Intel C2D E6300 Don't have this yet I have all of the other parts listed below though
I also don't know what ram to choose as that probably depends on the MB as I know Intel boards can be picky with the ram

This is what I have with my e6300: Gigabyte 965p-s3 and Corsair XMS2 2x1gb ddr2 675. Total cost for both is around $170. I have been able to get up to 3.0 ghz with those components, while having the vcore undervolted. It is definitely the low budget way to go, but I have had success so I thought I would share my experiences.
