Upgraded an old system, to replace a bad MB, now the new MB doesn't seem to work.

New MB is Foxconn P41A-G (Intel G41 + ICH7).
RAM = Geil PC2 6400 800Mhz, 2 x 2GB (5-5-5-15)
CPU = Pentium D (from the old system)

When I press the power switch, fans spin - power light is on, but nothing shows up on screen (connected to on-board VGA).

PSU (400W) isn't the problem. Verified by using a new PSU (Seasonic 550W). Tested with the old RAM sticks, (DDR2 667, 512MB x 2), same problem.

Can this be the CPU? Old MB "burned" the chip??

Not so much a failed chip as it is that the new G41 motherboard that you bought is not compatible at all with any of the older Netburst CPUs. You bought the wrong motherboard for your older chip. The G41 officially supports only the Core architecture-based CPUs such as the Core 2 Duo/Quad or the Pentium Dual-Core (the Pentium D is not the same CPU as the Pentium Dual-Core). And even Intel's slightly older 3 series chipsets do not officially support any of the Netburst CPUs. You will have to find a used motherboard using an Intel 900-series chipset in order to continue using that Pentium D.
