What is the difference between these two GTX 460's?

Second:

1350MHz (shader clock)

ya i just found that out after some searching, any noticeable difference? I think either way i will be happy coming from my 8800GTS, i just want the most for less obviously :)

I would say it'd be noticeable. SE has 15% less processing power to start off, and then it's clocked lower. But then the other 460 you linked has less RAM, and it's been shown that 768MB is a bottle-neck for that card. If it were me, I'd look for a 460 with 336 shaders and 1GB of RAM. A quick search is showing them for $150-$160 after rebate.
 
Microcenter has a 460 1gb non SE for about 130 right now. It is one of the worst cooled of the 460's but they run pretty cool anyway and will be much better than the other two especially if your not going to overclock.
 
I've not seen much on the GTX460 SEs but people seemed to suggest it'd be weaker than the 768MB version. For me, I'd stick withthe 768.
