Intel is adapting the 64-bit proc from AMD. Does this mean the s939 3400s will be overshadowed by some new Intel beast, or at least have the potential to be?

It means that Intel is up the creek with no paddle. Their only 64 bit offering happens to be the Itanium series, which happens to cost a good $1,500 per CPU at present. Since AMD and Intel have an agreement, they basically share their blueprints with eachother so one can't get too far ahead of the other.

#2 read the rules about sig length.

Intel will have a 64 bit processor based on AMD work instead of the other way around for a change.. one will continue to be better then the other and thats the one you get when you need a new pc. the brand does not matter.

No.
Intel has no plans right now to release a desktop 64 bit chip.
They're moving 64 bit to Xeons,
and they are using AMD's 'x86-64' instruction set in those new Xeons, so that they will be software compatible with AMD's 64 bit chips.
