Weird O'cing prob

This has got to be the most weird thing i've come across ever since i've started overclocking. i've some O'cing xperience..my previous 2 setups were running overclocked on air cooling.
my setup:
AMD AXP 2400+(Tbred B)
Gigabyte GA-7N400V-L mo'board
1GB Hynix DDR400 RAM
400w PSU
ATI Radeon 9500pro (305/305)
2 Seagate HDD's + 1 CD-RW
17" Samsung monitor
Old a** UPS

With F9/F10 bios ver:
when i overclock using 1.8 Vcore to 2400@160FSB and 136'F(stock HS w/ T'Take 5000rpm fan), it seems to work fine in 3Dmark looping..but Prime95 crashes after 5 min's. Weird thing is BurnK7 doesnt crash but after 10 min's or so the UPS begins to give a continuous error tone....and stops immediately when i close BurnK7!!

With F2 bios ver:
I thought the Vcore was less, and since i was using the max my mobo permits, i fired off a letter to tech support at Gigabyte who directed me to use a old bios i.e. F2. Now the max Vcore was 1.85 which i used.Crazy thing is the system would 'hang' on running Prime95 after just a few secs now..w/ temps below 130'F. didn't even bother to try BurnK7.

what do i do..this damn cpu is drivin me nuts..any suggestions would be great...
