First, sorry if this has already been discussed- a quick scan didn't find any similar threads.
I Read about this in Maximum PC (Dec 2006). Vistas' EULA states that the software may be reassigned to another device, one time (only) - i.e. if you upgrade your system too many times and Vista see your PC as a different PC, your version of Vista could be seen as "pirated" and disabled.
