Vista won't install... please help!

I'm trying to install vista 32-bit on a new build and seem to be hitting a road block. Basically, the computer boots fine, loads from dvd fine, allows me to format the HD and enter the activation code fine, looks like it's installing fine, then when it goes to do the first restart, I see the screen that says something like 'please wait while windows prepares to start for the first time', then blue screen of death. Or, if not the blue screen, it just restarts and then tells me how it restarted unexpectedly and now i need to reinstall windows. I'm just hoping someone here can maybe shed some light on what's going on... specs and what i've tried so far are listed below.

specs:
asus m2a-vm hdmi mobo
athlon x2 4000+
2gb g skill ddr2 800
250 gb seagate sata
lite-on dvd burner sata

what i've tried:
memory check (good)
swap hd with known working pata drive (same problem)
loading xp pro instead of vista (same problem)
removing / disabling all unnecessary devices (same problem)

Is your system overclocked at all?

Do you have another power supply you could try? If not, you could remove as many peripherals as possible and/or underclock your system to see if that resolves the issue.
