Upgrading from AMD 4400, any advice?

Upgrading my box from AMD X2 4400 to an Intel processor. I will be using some existing hardware. I am on the fence between processor and cooling device. Looking at the Tuniq tower vs Ultra 120. Leaning towards Tuniq because it already comes with a fan and it looks better!? I am trying to keep the cost of the upgrade low. The rig will be for gaming and would like to overclock at least over 3 GHz. Below is a list of what existing hardware I have that will be used in the build. Would like any feedback or comments.
