Upgrade Question

P4 2.4C @3.2Ghz
1Gb Corsair 3200LL RAM
Radeon X800 XT
2 Western Digital SATA drives

I was looking at purchasing the following:

AMD Athlon 64 3500+,
Abit AV8, ASUS A8V-Deluxe or GIGABYTE GA-K8NSNXP-939 motherboard.

I would use the RAM, HD and video card from my current system. Would this be a worthwhile upgrade? Are those motherboards any good? Is the Nforce chipset better than the VIA chipset for performace?? I would try to overclock a little bit, but not to much. Thanks for any help and/or suggestions.
