Currently i have a 9700 pro in a XP 2400 machine with 1 (pc2700) gb ram. Question is, will i see an improvement if i put in a 9800 ori 256 mb. A friend of mine is selling it to me for like $200.00. What do you think?
 
Your 9700 Pro is not even close to be saturate with the current processor you have. This card needs 3200+ and up to shows signs of fatigue. You'll benefit more of a CPU upgrade than a video card upgrade IMHO. I am in the "wait for the next gen" camp too.

If you get it for 200$ you may be able to sell it for more.
