Upgrade or Not? That is the question.

Is it worth to upgrade an Intel D865 PE motherboard to something such as the ABIT IC7-G OR ASUS P4C800 DELUXE for better performance and mroe overclocking options in? Or is it a big waste of money and I should wait?
