Time for upgrade - what route first?

Wanting to get a few PC upgrades done and was wondering where I should head first, spec just now is:

ASUS A7n8x-E Deluxe Mobo
Athlon 1800+
1 Gig PC3200
Radeon 9800 Pro (clocked to 9800XT)
Audigy 2 ZS
120 Gig SATA Drive
100 Gig drive
40 gig drive

I was thinking of just updating the CPU to a Athlon 3200+ which uses 400mhz FSB which my memory can go with. That is the max CPU my mobo can use. Would I be better getting a new mobo and CPU and going for Athlon 64 instead? Looking to spend about 300 or so probably if it's to be mobo and CPU. Anyone recommned a good mobo/CPU that I should go for that has decent upgrade potential for the future? Keep hearing about this PCI express stuff as well so would prob want a mobo that supports that.

Any advice welcome please!
