Strange system startup problem...any ideas?

Here's my specs:

Athlon Mobile 2500 at 12x200Mhz, 1.675v
2x512MB Samsung PC3200 RAM
MSI 9800 Pro vid card
DFI NF 2 Ultra Infinity MoBo
Enermax 350W PSU
XP Pro (SP2)

Here's the problem. When I turn on the computer, it quite frequently doesn't POST. The HD light comes on solid, and the fans come on, but nothing happens and I get nothing on the screen. I hit the reset button on the tower and it boots right up. Other times, it gets past POST, but then freezes partway through Windows loading. I then hit reset, and it boots up just fine. Once it's booted, I can use it for hours for whatever I want and it's rock solid stable (hours of gaming, over 12 hours tested with Prime 95). However, sometimes when I do a warm reboot it hangs as well, then I hit reset and it boots up again just fine so it's a very similar problem. It's not a major issue since it runs fine once booted, but I'm a bit more concerned now because it's happening more and more often. I sometimes have to hit reset twice now to get it to boot. I'm afraid I'll hit the point where it won't boot at all if this keeps getting worse.

Since it runs fine when it's booted up no matter what I do with it, I am having a hard time deciding what could be causing this. My best guess is the PSU - I am running 2 optical drives, 2 HD's, 2 fan controllers, 8 LED fans, a PCI TV card and a PSOne LCD inside the case (plus the components mentioned above) and I am thinking that might be too much power draw on the PSU. Or maybe my overclock is causing this? But if that's true, why does it run fine within Windows for hours and hours? Anyone have any ideas?
 
I's say it's the PSU - check your voltages.. if possible use a multimeter and watch the reading during the boot up.. and did you try if running at stock speeds does anything?
