I just got my FX55 in the MSI K8N Neo4/SLI Platinum. Plugged the Corsair PC4400 in. Powered up the PC Power and Cooling PSU and we are off. Runs GREAT. Until you try to turn it off. Windows goes though shut down just fin. All the fans stop and Lights go out. Problem is 1 or 2 min Later it starts back up all by its self. Only way to keep it off it switch the power off on the PSU. Looked in BIOS all the wake-on are turned off. Nothing In Windows is restarting as far as I can tell. Any Ideas????

Also I am thinking of upgrading My Windows to the 64bit version. Is it peformance that much different from the 32 to the 64?
 
If all the 'awake' options are off, it could be a connection issue. Unless your Windows is hibernating, rather than shutting down.

I suppose you checked the power cord that plugs into the mobo (power switch)? If that's not in completely tight, or as tight as that 1mm cord can get, then that could be a cause. Wierd problem though :/

As for your second question.. no. Not yet at least. There seems to me more problems than benefits at this point.
 
Ok Checked all connections in case they where all fine. It still did not stay turned off. But I downloaded Windows Service Pack 2 and installed that. Not sure what it changed but it says off now. :)
 
I had that same thing happen to me for a few days. Reinstalled Windows, Updated BIOS and all other drivers, worked perfect after that...
