right now i have a set of ocz 2gb at 240mhz 1T at 3-3-3-7 with the cpu at 2.4ghz (3200+ venice) would i see a performance increase or decrease if i ran a divider and uped the cpu more?
 
You would see an overall performance increase, but personally I would only do it if I could get the RAM to run at 240MHz again with the divider. The extra RAM speed helps with windows loading times and also game loading times.
 
I think you'd be pushing the limits of the chip if you tried to run a divider while keeping a high enough FSB (HTT) to maintain 240MHz. My Venice 3200+ doesnt want to go much further than 2.8GHz. With a 5:6 (166mhz) mem. divider i can be at 2.8GHz on the CPU and 233Mhz (DDR466) on my memory... i think the larger increase in cpu speed would outweigh the ~7MHz drop in memory... But, you could have a better chip than me and can run the FSB (HTT) high enough to stay at 240mhz, so i'd suggest finding out what your chip can take and go from there.
