Looks quite good. I'm not sure if you would really need that PSU upgrade. Also, I have the SP27P2, and I'm not too impressed with airflow near the PCI-E slot area. I'd try to find a way to get more airflow there if you're going to buy that 8800GT. Those cards can get quite warm and Shuttle XPC doesn't exactly have model air-flow to begin with.
 
No need at all to get that PSU. Heck, I bet it doesn't even work in the SP35P2. Take your build, change the the GT to a GTX, put in 3 hard drives, and you've got the setup I'm running now. Been completely stable for close to a month.
 
Personally I'd stay away from the OCZ Memory, I went through 4 sticks of OCZ 1GB PC-8500 ram and, no mater what I tried, I never even got it to post. I eventually got 2 sticks of 1GB Corsair Dominator PC-8500 running at 1040MHz and it's been running reliably ever since.
 
The 450W PSU does work with the SP35P2. If you have the money, why not? If you ever do need that extra 50W, you'll already have it in there since you put it in when you got the Shuttle. Having to take stuff out later just to change the PSU sucks.

Your selections look good. You can get better RAM for the $ though.
