sk41 G clock won't keep time

I have a Shuttle SK41g SFF
f41 mobo with 1 gig ddr2100
xp2400 tbred core
radeon 8500
onboard sound
onboard ethernet
plextor 708
wd 80 gig hd
250 shuttle PSU
Win xp pro

system is 100% stable
only it has in the past year lost the ability to keep accurate time.
when the system is turned on the time will be back at defaults, hours fast or slow, I never know what to expect. Yes I have changed the cmos 2032 battery at least 3 times. If I don't turn it off the clock keeps perfect time. I am trying hibernation although I don't know if that will even allow the clock to keep time. I am thinking that the clock chip has a problem. Any one had similar problem?
 
have you tried a bios flash?

I had a problem kind of like that at one point and that seemed to fix it
