Simple question-cpu upgrade

I've got a quick question-

If I upgrade my xp2100 processor to a xp2800 barton (along with new memory), will I have to reformat or just edit the bios settings as necessary?

Also, will I see a good difference in games and such? Specs are in the sig.

You shouldnt have to format unless you're swapping the motherboard.
 
do you overclock? You could probably get that 2100+ to run just as faster or faster than a 2800+. I had my 2100+ at 11x200mhz Now I bought a 2500+ barton that gets 11.5x200 and doesn't really seem any faster. But it was cheap.
 
my xp2100 is a thouroughbred, so its running at only 133x13, however my mobo only goes up to 166fsb, so i wont get too much of an overclock out of my chip.

i dont really want to spend more than 250 dollars on this upgrade. what do you guys recommend?
