Shutdown-->Cpu overheat message (pent4 3.0)

Ok guys, here's the prob. Im doing absolutely nothing and comp shuts down. On reboot I get a beep error code and a message that the "cpu shut down due to a thermal event (overheating)" Yet in checking the hardware monitor i see that cpu temp is about 39c. Yesterday i was playing at a friends house in a very hot room, no probs, cpu read about 45c. This has been doing this on and off since i built it about 6 months ago. I even bought a new thermaltake cpu fan and put it on with arctic silver 5, still same thing. Updated the mobo bios too. Any ideas?

I don't know. The temp sensor was a diode in the cpu i thought. Am i wrong in thinking its the cpu thats got the problem?
 
yeah there is a diode in the p4 that tells temp, but some mobos also have that temp thingy.
 
Well on the hardware sensors monitor program that i've got it DOES give 2 cpu temps, but they are only off of each other by about 2c. Right now one says 37c, and the other 35c.
