I have a 2.8C Intel P4 Processor, a friend will sell me a 3.2E for less than $200, I do not know if there is such change between these 2, anyway should I change it?
 
nope...Prescott's run slower and hotter than northwoods (up to 3.4GHz i think) and your 2.8 isn't exactly ancient either
 
Well it would be an upgrade..but I guess it depends on if you really need it. But if you've got some money it wouldn't hurt much if you upgraded.
 
I don't think it's worth it unless you have that kind of money to just 'blow'.I'd save it for a copmletely new system when AMD/Intel come out with dual cores next year. Until then, I don't think it's really worth it.
