SFF i5 Upgrade?

Hey,

I'm thinking about upgrading my current SFF build from E5200 to i5... (still trying to clear the $200~250 budget..)

Right now I have:
- Asus P5E-VM HDMI
- Intel E5200 @ 3.7ghz
- 2x2gb G.Skill DDR2-1066
- OCZ ModXStream 500W
- Zalman 8700 HSF
- EVGA 9800gtx+ OC
- 2x 1TB HDD (Seagate and Hitachi)

all in SG02-F.

I'm thinking about selling the mobo, RAM, and cpu, and upgrading to:

- Gigabyte P55M-UD2 (~$105)
- i5 750 (~$220)
- some DDR3-1333 RAM ($60~90)

Couple of questions:
1. how much do you think I can realistically sell my current parts for? I'm thinking CPU and RAM for 50 bucks each (canadian), and mobo for 100?
2. will the 500W PSU be alright with the upgrade? (will change it out when I decide I need more gfx power...)
3. if I plan to OC the i5 (apparently they go to 4+ghz easily), what is my best bet with HSF? I am tempted to do the Noctua C12P mod (http://www.hardforum.com/showthread.php?t=1381519) ... but the HSF is like $70... quite expensive. Has anybody tried the Scythe Zibang2 or Big Shuriken in a sugo case?
