We have a server that runs ICS

The Router in 192.168.200.x and the actual network is 192.168.2.x.

If i change the router to 192.168.2.254, remove the second NIC from the server, change the DHCP to give out the default gateway as 192.168.2.254 insead of the ICS server would this work?

Yup..she'll roll with the flow. Make sure your services/bindings are properly all set on the inside NIC...they should be, so shouldn't have to change DNS 'n stuff. Could disable the WAN NIC. Pretty much just should be able to change your gateway on the server is proper, edit DHCP....and go.
