I have a ASUS P4Pe mobo and a 2.4b with the stock hsf. It has 2 white clips on the side (its the stock intel hsf) Is there a special way i am supposed to do this? Each time I have tried I could not get it off.

Any suggestions?

...it's a little tricky.

Release the white levers, then for each of the four legs, you have to press down towards the MoBo just a little bit while gently pulling the leg out of the mount on the motherboard. It doesn't take a ton of force; just be gentle with it and it should come right out / off.
