I'm in the process of gathering some parts, which most are left overs from my recent upgrade and I'm in a stump on what direction to go. I have a DFI LanParty UT CFX 3200-DR Socket 939 with a Opteron 170 that I overclocked to 2.5GHZ on a water cool system. The question that I have is, should I use this for my HTPC along with the spare cooling gear I have or just sell it and buy something something in smaller size for the HTPC. I'm new to this so bare with me.

I have searched around and I just dont' know what direction to go with it.
 
That hardware is just fine for the purpose--in fact, it's probably more than you need, once you toss in a cheap HD-playback-accelerating card like the HD3450.
 
Thanks. Was thinking about throwing my X1900XTX once I upgrade in a month or two whenever the new cards come out from Nvidia and ATI.
 
I don't think the XTX is the best choice for the application. It doesn't have all the HW acceleration capabilities of the 3xx0 series. Besides, it's big and power-hungry (read: puts out lots of heat). Better to sell it and use the funds to subsidize the other things you'll need to get.
