Random Rebooting and "Critical Errors"

I am working on a friends PC and its having some major issues. He's using a Antec TruePower480 PS, Epox EP-8K3A+ (KT333) motherboard, AMD Athlon XP 2000+, 2 sticks of PC2400 (Cosair), 120GB "WD SE" (C:\), and 200GB "WD SE" (D:\), ATI All In Wonder 8500DV, Pioneer DVR-A04, Sound Blaster Live Value.

I wiped the system 100% clean (format and reinstall XP Pro). I've installed VIAs 4-in-1 drivers and the ATI Catalyst Drivers as well. I was downloading SP1a from microsoft.com and out of no where the system rebooted....

I also get strange errors from out of no where stating "The System has encountered a serious error".. send report, dont send..

Any thoughts, ideas, suggestions?

edit: I've downloaded and installed MBM5 and the CPU is 132 F sitting idle, case is 77 F. I ran FAH4 on the system and it runs the proc up to 145 or so, but no higher.
 
I am able to make it reboot when I want now... If I transfer large amounts of data across the bus then it will reboot! I tried installing UT2k4 and it reboots everytime, also I tried copying a couple large files from my server to the desktop and the system reboots...

any ideas? i could sure use some help...

I'm not sure if the proc is bad? memory? HD? mobo?
 
Sounds like either a RAM or HD problem to me. Do you have any parts you can throw at it to isolate it? Also did you repartition (delete the old one and then recreate the new one) the drive before you formated could be some mess up in the Partition table possibly but thats a definate reach.
 
i bet it's your RAM. Test each module and try using different slots, as it could be the slot and not the module.
 
For the board EP-8K3A+ get latest bios with optimized defaults, use the VIA 4in1´s 4.43 , install memory in slots 1 and 3 and move the Sound Blaser to PCI Slot #2 leaving the first after AGP empty.
