I would go for 4GB of RAM over faster RAM. You will need quantity more than speed. The CPUs won't be a big difference either way.

for the amd processor i have ASRock N68-GS , and for the e5300 i have gigabyte ga- g31m-es2l

I'd keep the E5300 and clock it up.

Honeslty if you have $100-$150 there are very modern options available.

E5300, its not even close really. When you factor in overclocking its even more lopsided. The X2 has little wiggle room, the e5300 has quite a bit.

That said, both will leaving you wanting for more power in a lot of modern games.
