Ok so here are the components I have so far.
Mobo : Abit NF7
RAM:?
Proc: Mobile Athlon XP 2400+
HSF: Thermalright SLK-947U w/ Enermax adjustable 92mm fan

Can any1 tell me if this HSF setup is good enough to get a decent OC out of this proc. I want to run it as quiet as the Zalman 7000Alcu that I have on my P4 computer... I picked up the slk-947U for $20 form SVC so I think its a good deal no? I hope its a good one...

Could you guys recommend some RAM though. I dont care if its dual channell or not. I just need one stick of 512, that will be able to handle the OC from the processor. I prefer to spend less than $100 if possible. Thanks guys.

Short answer: YES.
Longer: Board/CPU/HSF more than capable of getting a very nice o/c..Only problem is the $100/512mb stick..You're looking @ more like $125-$150 for good stuff (ie: Kingston HyperX/Corsair XMS/etc) - NOT worth going cheap on the ram..

as for memory - the 512 mb stick of OCZ "Premium" pc3200 (the basic is better, or at least more expensive) that i got a few months ago will run 250 fsb w/ relaxed timings at 2.8(? - whatever the max vdimm on the dfi infinity pro875 non-b is) on my brother's p4. it's keeping up just fine with his 512 stick of corsair xms LL pc3200 at DDR 450 in dual channel and i think 2-3-3-6 or so (maybe 2-2-2-5) timings. and my stick costs $97 at newegg, while his costs $183 or something ridiculous like that. guess who got the better deal? :D

so the corsair value stuff should be fine for your purposes (i wouldn't buy another stick of the OCZ for a new machine, just to put my athlon in dual channel w/ 1gig) just read the reviews. works just as well.

for the BEST memory out there - the corsair xms pc3200XL (2-2-2-5) is 175-ish last i checked. pro is probably ~$10-$20 more.

good luck.

o - make sure you get the 35W 2400 mobile (search for it, it isn't listed with the other mobiles - wtf?)
