I'm upgrading to an intel E4300 cpu and I was wondering if my 350W power supply is adequate if i'm running a nvidia 6800GS as well?

You have to list all your components for an accurate picture.
If you budget allows, I would recommend a new Corsair 520HX.

If your computer only has one hard drive, one or two fans and one optical drive you'll probably be okay with 350W assuming it's a quality PSU that can actually push that number. Some off-brand units say 350 but can only push 250 or less.

Here's what i want to have in my system:

intel E4300
2 HDD
1 CDRW
1 DVDRW
2 120mm fans
nvidia 6800gs

My power supply is a 350W enermax, according to its label, the specs are:
3.3V: 32A
5V: 32A
12V: 17A

My old system is an amd xp2200+, with all the other components being the same.

So should i get a new power supply for the Core2Duo?

You'll need more amps on that 12V line. 17A isn't enough.
