I'm a total newbie and am upgrading my processor in my laptop, but don't know dirt from mud.

Can anyone tell me the difference between these two chips and the reason for the drastic price difference?

I'm upgrading my IBM T41p, because I'm replacing a failed heatsink and I thought why not upgrade the processor since my bios supports it.
