PC keeps shutting down

built a computer for my friend and it will turn on, but will randomly shut down, sometimes while POSTing, in BIOS, or at the begining of installing Windows, he was originally using a Gigabyte board but Gigabyte tech support said it was a bad mobo, so he RMAed it, and got a refund, bought an Intel board (everything's compatable, he's using the Pentium D 805, 2 gigs of GSkill DDR2, and the Antec Truepower 2.0 550W) and the problem still occurs, this time, it will sometimes beep giving the code for an overheating CPU, but sometimes it will be on for 30 seconds or so and just shut down. I applied Artic Silver numerous times and cleaned the heatsink, any idea what the problem is?
