P4 or A64 better for media encoding?

I'm not a gamer or massive overclocker, so that's not important. I'm considering an upgrade from my P4 2.4B. I mostly just web browse & look at porn, however I have started convert DVD to DiVX & vice versa. So I'm wonder which CPU is better/faster for media encoding.

I'm looking at something in the mid 3.xGHz range since they seem to be the best bang for the bux.. The P4 Prescott 3.4G seems to be quite a bit cheaper than the A64 939 3.5G, so I'm learning towards the P4.
 
I'd go with the P4. 64 bits wouldn't make a big difference in media encoding. Make sure you have fast RAM, fast disks and fast network (for clustering).
 
Just make sure that you buy some decent cooling P4s generate ALOT of heat.
 
I was going to buy the retail chip, should I NOT reply on the Intel supplied cooling? Will it void the warranty I am NOT using the Intel cooling?
 
If you don't oc it, the chip should be fine. As for the warranty thing, I have no idea.

If you are not o/cing buy a retail chip and use the stock heatsink it comes with. Its more than sufficient and a great 3 year warranty on top. :)
