OS for your VMs?

If I run say VMWare under Windows 7, can I use my same Windows 7 reg code for Win 7 VMs?

For Windows operating system software licensed through retail (FPP) or preinstalled on a PC (OEM), Windows use rights are outlined in the Software License Terms that accompany the software. These license terms provide use rights to run Windows locally on the licensed device in a virtual operating system environment (OSE); however they do not provide use rights for accessing Windows running remotely in a virtual OSE from the licensed device, and are limited in other ways when compared to virtualization use rights provided with Windows Software Assurance, Windows Intune, and Windows VDA licenses acquired through Microsoft Volume Licensing.

I would say... it depends on the copy of windows 7 and how it was acquired.

For standard FPP purchases, this is the language used:

Use with Virtualization Technologies. Instead of using the software directly on the licensed computer, you may install and use the software within only one virtual (or otherwise emulated) hardware system on the licensed computer.

So if I understand this correctly, I get only ONE install. That install can either be native to that system, or a VM running under an OS other than the one under discussion. Correct?

The excerpt posted above says in laymen's terms:

You can only use a standard copy of windows (Home, Ultimate, etc) locally. Meaning you can only use it if you are directly at the computer the VM is installed on (sitting in front of a monitor, mouse, keyboard).

It pretty much explicitly states that you are prohibited from installing it on ESXI on a headless server, or on any type of headless server. And that you can only use one Serial code at any time.

This is because Windows sells Windows Server which provides this functionality (CALs)

Which they charge handsomely for.
 
So an acceptable use would be like if you were running Linux or Apple and wanted to virtualize Win7 to run apps in.

Unacceptable would be to make an army of VM clones on a server in the basement and setup remote terminals around your house.

Pretty much the only way to remotely use a standard copy of Windows (Home, Premium, Ultimate, etc) legally is via the windows included remote desktop function.
