opinion needed of current PC !!!

Hi All,
I have been posting here for about 10 months now asking tons of questions about my current PC....and if it is a good photoshop/photography PC and if it is worth upgrading it to a dual core or just build somthing new !!

well now it is crunch time on what to do !!!!

here is my current configuration:

Asus socket 939 motherboard (A8V Deluxe)AGP,

AMD64 3200+(VENICE CORE)

2 Gigs of DDR400 low latency RAM with timings of 2-3-2-5 (Patriot PDC2G3200LLK 2GB Kit DDR400 PC3200 Dual Channel Memory (2) 1 GIG sticks

Western Digital Raptor 74 gig 8 meg cache drive for my O/S and APPS

160 gig Hitachi sata drive for my data in a USB/firewire box for data

my Windows XP paging file is on an 80 gig seperate drive

my Photoshop scratch disk is on a Western Digital 36 gig Raptor drive all by it self

256 meg X800 PRO Ati Radeon video card

(1) Dell 2407 24" LCD MONITOR and a 20" Planar LCD MONITOR

Basically is it worth it to upgrade my current system to an Opteron 180 Denmark 2.4GHz 2 x 1MB L2 Cache and be done with it about $280

OR

build a new Core Duo2 system re-using some of my old parts...i should only have to buy a new processor (E6600) 2.4GHz 4M shared L2 Cache

MSI P965 motherboard & 2 gigs of DDR2-800

THIS MACHINE PLAYS NO GAMES IT IS USED ONLY FOE WINDOWS STUFF,RIPPING DVD'S AND DIGITAL PHOTOGRAPHY !!!!

I want this to be a performance machine but at the same time trying to be budget conscious !!!
